1. General provisions
1.1. This document is an official proposal (public offer) of Sapplex, hereinafter referred to as the "Seller", addressed to any individual or legal entity, hereinafter referred to as the "Buyer", to conclude a Purchase and Sale Agreement for biological supplements and vitamins on the terms set out in this public offer.
1.2. The moment of full and unconditional acceptance by the Buyer of this public offer (acceptance) is the fact of placing an order for goods on the Seller's website or through other communication channels provided by the Seller.
2. Subject of the Agreement
2.1. The Seller undertakes to transfer to the Buyer the goods specified on the Seller's website, and the Buyer undertakes to pay for and accept these goods under the terms of this Agreement.
2.2. The name, quantity and assortment of goods are determined by the Buyer when placing an order on the Seller's website or through other communication channels.
3. Ordering procedure
3.1. The Buyer places an order on the Seller's website independently, or with the help of a representative of the Seller, using the contact details specified on the website.
3.2. The Buyer undertakes to provide reliable information for placing an order.
4. Product price and payment terms
4.1. The price of each product is indicated on the Seller's website and may be changed by the Seller unilaterally without prior notice.
4.2. Payment for the product is made by the Buyer in the national currency of Ukraine in accordance with the payment methods provided on the Seller's website.
5. Delivery of goods
5.1. Delivery of goods is carried out in accordance with the conditions specified on the Seller's website.
5.2. The Seller is not responsible for the delay in delivery of goods if such delay occurred due to the fault of third parties or due to force majeure circumstances.
6. Rights and obligations of the parties
6.1. The Seller undertakes to:
To transfer to the Buyer the goods of proper quality, in accordance with the terms of this Agreement.
To provide complete and accurate information about the goods on the website.
6.2. The Buyer undertakes:
Accept and pay for the ordered goods.
Provide reliable information necessary for the Seller to fulfill its obligations under this Agreement.
7. Responsibility of the parties
7.1. The Seller is responsible for compliance with the requirements for the quality of the goods stipulated by the legislation of Ukraine.
7.2. The Buyer is responsible for the accuracy of the information provided when placing an order.
8. Dispute Resolution
8.1. All disputes arising in connection with the performance of this Agreement shall be resolved through negotiations between the Parties.
8.2. If it is impossible to reach an agreement, the dispute shall be referred to court for consideration in accordance with the current legislation of Ukraine.
9. Term of the Agreement
9.1. This Agreement shall enter into force upon acceptance by the Buyer and shall remain in effect until the Parties have fully fulfilled their obligations.
9.2. An electronic agreement shall be deemed concluded upon receipt by the person who sent the offer to conclude such an agreement of a response accepting this offer in accordance with the procedure specified in Part Six of Article 11 of the Law of Ukraine "On Electronic Commerce".
9.3. Prior to the expiration of the term of this Agreement, this Agreement may be terminated by mutual consent of the parties until the actual delivery of the goods, by returning the funds.
9.4. The Parties have the right to terminate this Agreement unilaterally in the event of failure by one of the parties to fulfill the terms of this Agreement and in cases provided for by the current legislation of Ukraine.
